2. Eligibility

By using our website and services, you represent that you are at least 18 years old and have the legal capacity to enter into binding agreements. You also represent that you are using our services for legitimate business purposes only.

3. Client Responsibilities

• Providing accurate, complete, and timely information required for project execution
• Securing necessary permissions, licenses, or approvals for any third-party materials or platforms used
• Reviewing deliverables and providing feedback within agreed timeframes
• Ensuring compliance with all applicable laws and regulations related to your business

4. Payment Terms

Payment terms are specified in individual proposals or agreements. Standard terms include:

• 50% deposit required before work commences, unless otherwise agreed
• Remaining balance due upon project completion or as specified in the agreement
• Late payments may result in service delays, suspension, or termination
• All fees are non-refundable unless otherwise stated in writing

5. Refund Policy

Due to the nature of digital services, all sales are final. Refunds are not provided for completed work. However, we are committed to client satisfaction and will work to resolve any reasonable concerns regarding deliverables. Refund requests must be submitted in writing within 14 days of project completion.

6. Intellectual Property

Upon full payment, final deliverables (funnel designs, copy, assets) become the property of the client. ScaleUp Sales Funnels retains the right to display completed work in our portfolio, case studies, and marketing materials unless explicitly requested otherwise in writing. Any proprietary tools, frameworks, or code libraries remain the intellectual property of ScaleUp Sales Funnels.

7. Third-Party Platforms

Our services may integrate with third-party platforms such as ClickFunnels, GoHighLevel, Kajabi, Shopify, WordPress, email service providers, and payment processors. We are not responsible for downtime, changes, or issues caused by these platforms. Clients are responsible for maintaining their own accounts and subscriptions with third-party providers.

8. Limitation of Liability

To the maximum extent permitted by law, ScaleUp Sales Funnels shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from or related to the use of our services. Our total liability shall not exceed the total fees paid by the client in the six months preceding the claim.

9. No Guarantee of Results

While we strive to deliver high-quality services that improve sales and lead generation, we do not guarantee specific results, conversion rates, revenue increases, or return on investment. Results vary based on numerous factors including industry, competition, offer quality, and market conditions.

10. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement, including business strategies, customer data, and unpublished materials. This obligation survives termination of these Terms.

11. Termination

Either party may terminate a project agreement with written notice. Upon termination, the client is responsible for payment for all work completed up to the termination date. We reserve the right to suspend or terminate access to our website or services for violation of these Terms.

12. Modifications to Terms

We reserve the right to update these Terms at any time. Changes become effective immediately upon posting to this page. Continued use of our website or services constitutes acceptance of the modified Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Delaware.

14. Indemnification

You agree to indemnify, defend, and hold harmless ScaleUp Sales Funnels, its employees, owners, and affiliates from any claims, damages, losses, or expenses arising from your use of our services, violation of these Terms, or infringement of any third-party rights.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with any signed proposals or agreements, constitute the entire agreement between you and ScaleUp Sales Funnels regarding the use of our website and services, superseding any prior agreements or communications.
